Q: Is there a time limit in which an agenda for a board meeting must be sent to the members of the board prior to the board meeting?

A: Unless the bylaws state otherwise, there is not only no time limit, but no requirement to send the agenda at all.

If proxy voting is allowed at all, it is allowed during executive (closed) session meetings. Proxy voting is not allowed unless your state government requires it be allowed, or unless your organization's bylaws allow it.
